01Acceptance of These Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

02About BroadPeak

BroadPeak Investment Group is an operator-led private investment group and family office headquartered in the Atlanta, Georgia area. The Services are provided by BroadPeak together with its affiliates and operating entities (for example, BroadPeak Mobility, LLC, BroadPeak Sports & Entertainment, and BroadPeak Properties). References to BroadPeak include these entities where the context applies.

03Eligibility & Access

You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to use the Services. You are responsible for your access to the Services, including any required equipment and internet connectivity, and for ensuring that your use complies with these Terms and applicable law. We may modify, suspend, or discontinue any part of the Services at any time without notice or liability.

04Permitted Use & License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial informational use, and — if you are a prospective candidate — to review job postings and submit applications. All rights not expressly granted are reserved.

05Prohibited Conduct

You agree not to, and not to permit others to:

• use the Services in any way that violates applicable law or these Terms, or that infringes the rights of others;
• copy, reproduce, distribute, publicly display, modify, create derivative works from, scrape, harvest, data-mine, or otherwise exploit any part of the Services or its content except as expressly permitted;
• use automated means (bots, crawlers, scrapers) to access the Services other than well-behaved search-engine indexing consistent with our robots directives;
• attempt to gain unauthorized access to, interfere with, disrupt, or compromise the Services, our systems, or any network or security measure;
• introduce malware, viruses, or harmful code, or impose an unreasonable load on our infrastructure;
• misrepresent your identity or affiliation, submit false or misleading information, or use another person's information without authorization; or
• use the Services to transmit unlawful, defamatory, harassing, or otherwise objectionable content.

06Intellectual Property

The Services and all content, features, and functionality — including text, graphics, logos, designs, layouts, images, and software — are owned by or licensed to BroadPeak and are protected by copyright, trademark, trade-dress, and other intellectual-property laws. "BroadPeak," "BroadPeak Investment Group," "BIG," and related names, logos, and marks are trademarks of BroadPeak or its affiliates. Other names and marks are the property of their respective owners, and their appearance does not imply endorsement. Nothing in these Terms grants you any right, title, or interest in our intellectual property, and any unauthorized use is prohibited.

07Job Postings & Applications

• No guarantee of employment. Job postings are informational and do not constitute an offer of employment or a contract. Any employment relationship that may result would be governed by separate documentation and, in the United States, is generally "at-will."
• Accuracy. You agree to provide accurate, current, and complete information in any application, and not to misrepresent your qualifications, experience, or authorization to work.
• No fee. BroadPeak does not charge applicants any fee to apply. We will never ask you to send payment or financial-account information as part of an application; treat any such request as fraudulent and report it to us.
• Third-party application platforms. Applications may be processed through third-party applicant-tracking systems (such as ADP Workforce Now) subject to their own terms; your use of those platforms is between you and the platform provider.
• Equal opportunity. BroadPeak is an equal-opportunity employer. We consider applicants without regard to race, creed, color, religion, sex, sexual orientation, marital status, national origin, age, disability, veteran status, or any other status protected by applicable law.
• Privacy. Personal information submitted through applications is handled under our Privacy Policy and Applicant & Candidate Privacy Notice.

08Submissions & Feedback

Other than personal information governed by our Privacy Policy, any ideas, suggestions, proposals, or other materials you submit to us that are not solicited under a written confidentiality agreement ("Submissions") are provided on a non-confidential, non-proprietary basis. You grant BroadPeak a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, and otherwise exploit such Submissions for any purpose without obligation or compensation to you. Do not send us confidential or proprietary information unless we have agreed in writing to receive it.

09No Advice; No Offer of Securities

The Services are provided for general informational purposes only and do not constitute, and should not be relied upon as, legal, tax, accounting, financial, investment, or professional advice. Nothing on the Services is, or should be construed as, an offer to sell or a solicitation of an offer to buy any security, fund interest, or other financial instrument, or an offer of any investment advisory service, in any jurisdiction. Any such offer, if made, would be made only through definitive offering documents to eligible persons in compliance with applicable law. Descriptions of BroadPeak's activities, portfolio, or strategy are for identification and informational purposes and are not investment recommendations. Past performance is not indicative of future results.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BROADPEAK, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, AND NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14Indemnification

You agree to indemnify, defend, and hold harmless BroadPeak, its affiliates, and their respective officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your Submissions, your violation of these Terms, or your violation of any law or the rights of a third party.

15Governing Law & Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules, and, where applicable, by the U.S. Federal Arbitration Act. Subject to Section 16, the state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. If you are a consumer residing in a jurisdiction whose mandatory laws provide otherwise, nothing here deprives you of the protections of those mandatory laws.

16Dispute Resolution & Arbitration

Informal resolution first. Before commencing any formal proceeding, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding arbitration administered by a recognized arbitration provider under its applicable rules, on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access matters.

Class-action & jury waiver. To the fullest extent permitted by law, disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action, and you and BroadPeak waive any right to a jury trial.

Where prohibited. If the arbitration agreement or class-action waiver is unenforceable for a particular claim or in your jurisdiction (including for certain consumers or where prohibited by mandatory law), that claim will proceed in the courts identified in Section 15, and the remainder of this Section will remain in effect.

17International Use & Compliance

We operate the Services from the United States and make no representation that they are appropriate or available in other locations. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. You represent that you are not located in a country subject to comprehensive U.S. sanctions, and are not on any government restricted-party or denied-persons list, and you agree to comply with all applicable export-control and sanctions laws.

18General Provisions

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and BroadPeak regarding the Services and supersede prior understandings on that subject.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be enforced to the maximum extent permitted.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a corporate transaction.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
• Changes. We may update these Terms from time to time. The "Last updated" date reflects the latest version, and your continued use of the Services after changes take effect constitutes acceptance.
• Survival. Provisions that by their nature should survive termination will survive.
